These Terms of Service ("Terms") constitute a legally binding agreement between you and Balla Stats ("we", "us", "our") regarding your access to and use of the Balla Stats platform, including our website, mobile applications, and related services (collectively, the "Service").

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

2.1 Age Requirements

You must be at least 13 years old to use Balla Stats. If you are between 13 and 18 years old (or the age of legal majority in your jurisdiction), you must have your parent or legal guardian's permission to use the Service.

2.2 Account Authority

By creating an account, you represent and warrant that:

• All information you provide is accurate, current, and complete
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Service under applicable laws
• You will maintain the accuracy of your account information

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must register for an account by providing:

• Valid email address
• Secure password
• Your name and basic profile information

3.2 Account Security

You are responsible for:

• Password Confidentiality: Maintaining the confidentiality of your password
• Account Activity: All activities that occur under your account
• Unauthorized Access: Notifying us immediately of any unauthorized use
• Two-Factor Authentication: We recommend enabling 2FA for additional security

3.3 Account Restrictions

You may not:

• Share your account credentials with others
• Create multiple accounts to circumvent usage limits
• Use another person's account without permission
• Sell, transfer, or assign your account to others

4. Subscription Plans and Billing

4.1 Free and Paid Plans

Balla Stats offers both free and paid subscription plans:

• FREE: Basic features with usage limits
• PRO: Enhanced features with increased limits
• TEAM: Unlimited features for organizations
• ENTERPRISE: Custom solutions with white-label options

4.2 Billing Terms

• Payment Processing: All payments are processed securely through Stripe
• Subscription Cycle: Subscriptions are billed monthly or annually in advance
• Auto-Renewal: Subscriptions automatically renew unless cancelled
• Price Changes: We will notify you 30 days before any price increases

4.3 Free Trial

New PRO subscribers receive a 14-day free trial. Your payment method will be charged automatically at the end of the trial unless you cancel before the trial period ends.

4.4 Cancellation and Refunds

• Cancellation: You may cancel your subscription at any time via your account settings
• Access After Cancellation: You retain access until the end of your billing period
• No Refunds: We do not offer refunds for partial subscription periods
• Exceptions: Refunds may be granted at our discretion for technical issues or errors

4.5 Usage Limits

Each subscription plan has specific usage limits (groups, players, matches, seasons). Exceeding these limits may require upgrading to a higher plan or result in service restrictions.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use Balla Stats for:

• Tracking football/soccer statistics for amateur and recreational purposes
• Managing teams, players, and competitions
• Organizing matches and recording results
• Analyzing performance data
• Sharing public match reports and statistics

5.2 Prohibited Activities

You agree NOT to:

• Illegal Activities: Use the Service for any unlawful purpose
• Harassment: Harass, abuse, or harm other users
• False Information: Provide false or misleading information
• Impersonation: Impersonate any person or entity
• Scraping: Use automated tools to scrape or download content
• Reverse Engineering: Attempt to reverse engineer the platform
• Security Violations: Attempt to breach security measures
• Malware: Upload viruses or malicious code
• Spam: Send unsolicited communications to other users
• Commercial Exploitation: Resell or commercialize the Service without permission

5.3 Content Standards

User-generated content (team names, player names, match notes) must not contain:

• Hate speech, discrimination, or offensive language
• Explicit or inappropriate content
• Personally identifiable information of minors without consent
• Copyright or trademark violations

6. Intellectual Property Rights

6.1 Our Rights

Balla Stats and all related content, features, and functionality (including but not limited to software, text, graphics, logos, and icons) are owned by Balla Stats and protected by international copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of all content you create and upload to Balla Stats (match data, player information, statistics). By using the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, store, and display your content solely to provide and improve the Service.

6.3 Data Portability

You can export your data at any time in JSON or CSV format through your account settings, in accordance with GDPR Article 20 (Right to Data Portability).

6.4 Trademarks

"Balla Stats" and our logo are trademarks of Balla Stats. You may not use these marks without our prior written permission.

7. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information. Our Privacy Policy is incorporated into these Terms by reference.

• We comply with GDPR and other applicable data protection laws
• You have the right to access, correct, and delete your data
• We do not sell your personal information to third parties
• We use industry-standard security measures to protect your data

8. Third-Party Services

Balla Stats integrates with third-party services:

• Supabase: Database hosting and authentication
• Stripe: Payment processing (subject to Stripe's Terms of Service)
• Vercel: Website hosting and CDN
• Sentry: Error tracking and monitoring

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of these third-party providers.

9. Service Availability and Modifications

9.1 Service Availability

We strive to provide reliable service but do not guarantee:

• Uninterrupted or error-free operation
• That defects will be corrected immediately
• That the Service will be available at all times

9.2 Maintenance and Downtime

We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice.

9.3 Service Modifications

We reserve the right to:

• Modify or discontinue any feature or functionality
• Change usage limits or pricing with 30 days' notice
• Update these Terms (material changes will be notified)

10. Termination

10.1 Termination by You

You may terminate your account at any time by:

• Visiting your account settings and selecting "Delete Account"
• Contacting support at support@ballastats.com

Account deletion is subject to a 30-day grace period during which you can recover your account. After 30 days, all data is permanently deleted.

10.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent or illegal activities
• Fail to pay subscription fees
• Create security or legal risks for us or other users

10.3 Effect of Termination

Upon termination:

• Your right to access the Service immediately ceases
• We may delete your data in accordance with our data retention policy
• You remain liable for any outstanding fees
• Sections of these Terms that should survive termination will remain in effect

11. Disclaimers and Limitation of Liability

11.1 Service "AS IS"

11.2 No Warranty

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected

11.3 Limitation of Liability

Our total liability to you for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.

11.4 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Balla Stats, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Content you submit to the Service
• Your violation of any applicable laws or regulations

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

13.2 Informal Resolution

Before filing a claim, you agree to contact us at support@ballastats.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

13.3 Arbitration

If we cannot resolve the dispute informally, any disputes arising from these Terms or the Service will be resolved through binding arbitration in accordance with the rules of [Arbitration Organization], rather than in court.

13.4 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Balla Stats individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13.5 Exceptions

Either party may bring a claim in small claims court if it qualifies. Additionally, either party may seek injunctive relief in court to enforce intellectual property rights.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Balla Stats regarding the Service.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms at any time without notice.

14.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, or failure of third-party services.

14.6 Survival

Sections that by their nature should survive termination will survive, including but not limited to: intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or business operations.

15.1 Notification

We will notify you of material changes by:

• Sending an email to your registered email address
• Posting a notice on the Service
• Displaying an in-app notification

15.2 Effective Date

Changes become effective 30 days after notification. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15.3 Objection

If you do not agree to the updated Terms, you must stop using the Service and may delete your account.
